Terms & Conditions
These terms explain how we operate Dizpair Studio, collaborate with clients, and provide access to our website. Please review them before engaging with us.
Scope & acceptance
- By using our site or entering a project with Dizpair, you agree to these terms.
- You confirm you have authority to bind your organization where applicable.
- We may update terms periodically; continued use or engagement means acceptance.
Engagements & deliverables
- Statements of work or proposals define scope, timelines, deliverables, and assumptions.
- Deliverables are deemed accepted when approved in writing or when put into production.
- Client responsibilities (content, access, feedback) must be provided on time to keep schedules.
Quotes, pricing & changes
- Quotes remain valid for 30 days unless otherwise stated.
- Out-of-scope requests may affect fees and timelines; we’ll confirm before proceeding.
- Time and materials work is billed at agreed rates and documented in invoices.
Payments & invoicing
- A deposit or kickoff fee may be required to reserve project time.
- Invoices are payable within 7 days unless specified differently in the proposal.
- Late payments may incur financing charges and could pause delivery until settled.
Intellectual property
- Dizpair retains ownership of pre-existing tools, frameworks, and know-how.
- Final paid deliverables transfer to you upon full payment, subject to third-party licenses.
- We may showcase non-confidential work in our portfolio and marketing.
Approvals & revisions
- Proposals outline included revision rounds; additional iterations may be billed.
- Approvals should be provided in writing through agreed channels.
- Delays in feedback or content can shift delivery dates.
Confidentiality & data
- Both parties will protect confidential information and use it only for the project.
- Trusted vendors supporting delivery may access data under similar confidentiality obligations.
- Personal data is handled as described in our Privacy Policy.
Warranties & disclaimers
- Services are provided with reasonable care and skill, but "as is" for specific outcomes.
- We do not guarantee marketing results, conversions, or uninterrupted availability.
- Third-party services, licenses, and dependencies are governed by their own terms.
Liability & indemnity
- Our total liability is limited to fees paid to Dizpair for the 3 months preceding the claim.
- Neither party is liable for indirect or consequential damages or lost profits.
- You agree to indemnify us against claims arising from your content, data, or misuse of deliverables.
Termination
- Either party may terminate for convenience with written notice.
- Fees for completed work, approved stages, and committed costs remain payable.
- Upon termination, each party will return or delete confidential materials upon request.
Governing law
- These terms are governed by the laws of Nepal, without regard to conflicts principles.
- We'll aim to resolve disputes amicably; otherwise, Kathmandu courts have jurisdiction.
Changes to these terms
- We may update these terms and will post the effective date at the top.
- Continuing to use our site or services after updates means you accept the changes.
- If a change materially affects you, reach out so we can discuss options.
